In view of the fact that both Party A and Party B use the parking lot of _______ Road ____ to _______, the two parties reached a contract for the parking lot by consensus. The contract is as follows:

Article 1 Party B shall contract the parking lot in a safe use manner to ensure that the contracted fees are paid on a monthly basis, and actively cooperate with the local government to work on the parking lot. Party A shall not be responsible for any violation of the government regulations.

Article 2 Contract Price: Party B shall deliver Party A's contracted fee of RMB _________ yuan on the _________ day of each month.

Article 3 Party B shall not be detrimental to the image of Party A in its foreign speech, and Party B shall absolutely protect the interests of the company.

Article 5 Statement and Warranty

Article 6 Liability for breach of contract

Except for the reason of force majeure, if any party violates this contract, it shall pay the other party a penalty of _________% of the contractual contract fee.

If either party violates its representations, warranties or other obligations in this contract and causes the breaching party to suffer losses, the observant party has the right to demand compensation from the defaulting party.

Article 7 Confidentiality

One party shall be obliged to keep confidential the business secrets of the other party that is known as the contract for the parking lot, and shall not disclose it to other relevant third parties, except as otherwise provided by current Chinese laws and regulations or with the written consent of the other party.

Article 8 Supplements and Changes

This contract may be modified or supplemented in writing according to the opinions of the parties, and the resulting supplementary agreement has the same legal effect as the contract.

Article 9 Contract Attachment File

The sub-files of this contract include but are not limited to:

Amendments, additions, and alterations signed by the parties in connection with the performance of this contract;

A copy of the business license of each party and related legal files;

Any party who violates the relevant provisions of the subordinate file of this contract shall bear legal responsibility in accordance with the liability for breach of contract in this contract.

Article 10 Force Majeure

If either party fails to perform this contract in whole or in part due to force majeure, or delays the performance of this contract, the event shall be notified to the other party in writing within three days from the date of the event of force majeure, and within 30 days from the date of the event. Submit to the other party a certificate that causes all or part of it to be unfulfilled or delayed.

In the event of a dispute between the parties to this contract concerning the interpretation or performance of the relevant provisions of this contract, it shall be settled through friendly negotiation. If no written agreement is reached through negotiation, either party has the right to file a lawsuit in a people's court with jurisdiction.

Article 12: Reservation of rights

The failure of either party to exercise its rights or take any action against the other party’s breach of contract shall not be considered a waiver of the right or a waiver of the liability for breach of contract. Any waiver of any right against the other party or waiver of any liability of the other party shall not be considered a waiver of any other right or any other liability against the other party. All waiver should be made in writing.

Article 13 Subsequent legislation

Except as expressly provided by the law itself, subsequent legislative or legal changes shall not affect this contract. The parties shall amend or supplement this contract by consensus in accordance with subsequent legislative or legal changes, but shall be in writing.

Article 14 Notice

Notices or communications required or permitted by this contract, regardless of the manner in which they are delivered, will take effect when they are actually received by the party notified.

The “actually received” in the preceding paragraph refers to the notification or communication content reaching the legal address or residence of the correspondent or the specified range of communication addresses.

If a party changes its notice or mailing address, it shall notify the other party of the changed address within three days from the date of the change. Otherwise, the change party shall bear legal responsibility for all consequences arising therefrom.

Article 15 Interpretation of the contract

The headings of the terms of this contract are for convenience only and do not affect the meaning of the terms of the title.

Article 16 Conditions for entry into force

This contract shall become effective on the date on which the legal representative of the parties or their authorized agent signs and affixes the official seal on this contract. All parties should stamp the original seal on the original contract.
