On the premise of abiding by the laws and regulations of the People's Republic of China, the two parties have fully negotiated the processing of incoming materials _________ in accordance with the principle of mutual benefit, and unanimously reached the following contractual terms:
First, the responsibility of both parties
1. Party A’s responsibility:
Provide _________ square meters of covered factory, _________ square meters without covered space, _________ name of factory management staff, _________ name of production workers, and _________ months after opening _________. During the contract period, Party B will process and produce the above-mentioned products, and after processing the finished products, return them to Party B for return.

The import and export procedures for processing and assembly of related materials and the administration and financial management of the factory shall be handled, and the work shall not be contracted to any unit or individual for operation in any form.
2. Party B’s responsibility:
The equipment and materials required for the processing of the above products and the decoration of the factory building and the construction of the _________m square simple workshop are not provided at a price, and are delivered to the Party's factory in multiple batches with a total value of about _________ yuan.
The raw materials, auxiliary materials and packaging materials required for processing the above products are not provided at the price, and the specific quantities and specifications are specified in each specific production and processing contract.
If a worker is ineffective due to lack of work and has no education, Party B has the right to propose a change to Party A, but it is forbidden to illegally search the body of Party A factory workers.
Second, the number of processing in the first year processing of the above products, processing costs of about _________ yuan, the output from the second year should be increased on the basis of the previous year, the specific amount should be specified in the production contract.
Third, the principle of price and work payment
1. The trial production period is two months. During the trial production period, the monthly labor payment for each worker is tentatively set at _________ yuan, _________ days per month, _________ hours per day.
2. After the trial period expires, the method of calculation by piece will be adopted. On the basis of adhering to the principle of mutual benefit, both parties should make pricing according to the variety, specifications, styles and craftsmanship of the processing, and specify in the production and processing contract to ensure the workers. Fourth, the loss rate
1. The consumption rate during the trial production period is reported to be sold.
2. The rate of loss after the trial period is agreed upon by both parties and is specified in the production and processing contract.
V. Incoming material and delivery date
1. Party B shall provide a sufficient amount of raw and auxiliary materials and packaging materials on a monthly basis according to the processing volume of the production contract. In order for the factory to be produced normally, Party B must deliver the required raw materials and packaging materials to Party A's factory _________ days before the start of processing of each batch of products. Except for the irresistible manpower, Party B's incoming materials are insufficient, causing Party A's factory to produce less than _________ days per month, and the number of days of downtime may not exceed four days. Otherwise, Party B shall be based on the number of days of downtime for workers in the factory. The daily living allowance is _________ yuan and paid to Party A's factory.
2. In order to enable Party B to carry out normal business activities, Party A shall deliver to Party B on time, in quality and quantity according to the agreed delivery date. If the reason is not force majeure, Party A will not deliver the goods on time, according to quality and quantity, causing Party B's economic losses. Party A shall be liable for compensation, and the amount of compensation may be specified in the specific production and processing contract.
3. The machinery, ventilation, lighting and other equipment, raw and auxiliary materials and packaging materials provided by Party B shall be settled and registered by the two parties at the Party A factory to establish a book of accounts. After the processing of the finished products of Party A's factory, after Party A's factory has been checked and accepted by Party B, Party A shall not be responsible for any product specifications, quality, shortages, etc.
6. Settlement formal payment and worker management fee shall be settled once a month, and will be settled by d/p spot settlement or check. After Party A's factory will issue an invoice with _________ trading company, pass _________ bank to Party B at ________ _ Bank account opening. If Party B fails to pay Party A for more than _________ days, Party B will pay Party A at the time of the overdue days. Party B does not settle foreign exchange for _________ months, and Party A has the right to stop shipping or other measures.
7. Labor protection and transportation and insurance
1. The factory should do a good job in labor protection and safety, improve dust-proof, smoke-proof and anti-virus facilities. The plant should be kept ventilated and bright, and the internal and external environment should be clean and tidy. For contaminated projects, it must be approved by the municipal environmental protection department before it can be operated.
2. Party B shall be responsible for the transportation costs of machinery, ventilation, lighting equipment, raw and auxiliary materials, packaging materials and finished products processed by Party A.
3. The transportation of raw and auxiliary materials, packaging materials, mechanical equipment, raw materials and packaging materials stored in the finished product and during processing, and workers operating machinery are insured by Party B _________ insurance company.
8. Technical Exchange After the equipment arrives at Party A's factory, Party B shall dispatch personnel to install as soon as possible, and Party A shall send personnel to assist. From the trial production period, Party B shall send technicians to the Party's factory for technical training until the workers can basically master the production technology and carry out normal production. The wages and all expenses of Party B's technical personnel shall be the responsibility of Party B, and Party A shall provide convenience in life.
IX. Contractual Term After the contract has been approved and signed, Party B shall submit the business registration and bank credit certificate to Party A for the business license to be validated by the customs. Valid for _________ years, from _________ years _________ months _________ days to _________ years _________ months _________ days. In order to terminate or extend this contract in advance, the other party must be notified three months in advance, and the termination or extension of the contract must be handled through negotiation between the parties. A party terminates the contract in advance and is responsible for compensating the other party's economic losses. The method of compensation shall be based on the monthly average payment of the work within the first half of the term of the contract, and the total amount of the work payment for two months shall be compensated to the other party.
After the expiration of the contract, the immovable assets shall be owned by Party A. The movable property provided by Party B without the price shall be owned by Party B, and the verification formalities shall be handled in time according to the customs and relevant regulations.
The parties agree that within _________ days after the approval of this contract, Party B shall prepay _________ yuan to Party A as the performance bond. Within _________ months from the date of Party A’s performance of the performance bond, Party B shall not When the company is put into production, the performance bond is unconditionally owned by Party A. X. Arbitration Any dispute arising from or in connection with this contract shall be settled through friendly negotiation. If the negotiation cannot be settled, it shall be submitted to the _________ Arbitration Commission, and the arbitration shall be conducted in accordance with the effective arbitration rules when applying for arbitration. . The arbitral award is final and binding on both parties.
XI. Language This contract is in English and Chinese, and both texts are equally authentic. However, in the event of an objection to its interpretation, the Chinese version shall prevail.
XII. Copies of the contract and amendments The original of the contract is in five copies.
