On the principle of equality and mutual benefit, Party A and Party B shall provide raw materials for Party B after full consultation, and Party A shall reach an agreement on the processing of finished products in _________ and conclude this contract in accordance with relevant Chinese laws and regulations.

First, the processing of the project

Second, the delivery of incoming materials

Third, raw material loss

Fourth, Party A’s responsibility

4. Deliver the finished product to Party B in accordance with the provisions of this contract by quality, quantity and time.

6. Assist Party B in handling the import of raw materials required for processing and the export procedures for finished products.

7. Party B requests Party A to assist with other matters.

V. Party B’s responsibility

1. Provide the equipment and materials needed for processing products and decoration workshops. The price shall be approved by both parties. The required expenses shall be paid by Party B. Party A shall repay the principal and interest of Party B's advances from the payment of the payment paid by Party B. The repayment period shall be ______year.

2. In order to normalize the processing and production, Party B shall provide other special equipment, testing instruments and inspection tools required for production. The ownership of this part of the equipment is still owned by Party B. It is only kept and used by Party A within the contract period. Party A is responsible for repair or compensation for damage and loss, but Party B is responsible for normal maintenance. After the expiration of the contract, Party B shall handle it by itself.

3. Provide raw materials, packaging materials and auxiliary materials for processing and production in accordance with the quantity, specifications, quality and time requirements stipulated in this contract.

4. If the worker is ineffective due to lack of work, Party B has the right to propose to Party A to exchange, but it is forbidden to illegally search the body of Party A factory workers.

5. Party A requests Party B to assist with other matters.

6. Delivery of processed products

Party A shall hand over the processed products to Party B at Party A's factory or warehouse in ______ times per month. And handle the handover procedures as follows:

1. Both parties must send someone to participate.

2. The delivered product must be a finished product or semi-finished product that has passed the inspection by both parties before packaging.

3. Representatives of both parties must sign and seal the handover list.

Seven, product quality

1. Product quality, based on the samples provided by Party B and determined by both parties as the standard.

2. Processing and production should be carried out under the guidance of technical personnel of both parties. For products with more complicated processes and higher technical requirements, Party B must send resident technical personnel to carry out specific inspection and guidance on production, and find out problems in time to ensure product quality.

3. Product quality inspection should be attended by technical personnel from both sides.

4. For products with high technical requirements and which cannot be inspected manually, the mechanical test shall prevail.

5. If the unqualified product is purely a party's processing quality problem, Party A shall be responsible for exemption from repair; if it is caused by the quality of the raw material itself or technical design, Party B shall bear the cost of repair.

Eight, work payment

1. The trial period is ______ days, and the time-based worker pays the fee. The worker's daily payment is ______ yuan.

2. After the trial production period is over, adopt the method of calculation according to the piece. On the basis of adhering to the principle of mutual benefit, both parties should make pricing according to the variety, specifications, styles and craftsmanship of the processing, and specify in the production and processing contract to ensure The reasonable income of workers, the average payment per worker is not less than _______ yuan per person per month. When overtime is required, overtime pay is calculated separately, but each worker must work overtime for up to _______ hours.

3. Party B shall be responsible for the water and electricity expenses consumed by Party A’s production.

X. Transportation

Party B shall bear the transportation machinery equipment, raw materials, packaging materials, etc. provided by Party B, as well as the transportation tools and expenses provided by the finished products processed by Party A.

XI, insurance

Party A's plant, equipment, etc., Party B's processing materials, equipment and finished products, etc., are insured by _______ insurance companies respectively, and the required expenses are borne separately.

Twelve, taxation

Both parties should abide by China's relevant tax laws and pay their taxes on time.

XIII. Guarantee In order to ensure that both parties perform the contract and pay the fine or compensate for the loss in accordance with the contract, the two parties shall provide each other with a letter of guarantee issued by their respective banks.

XIV. Equipment installation and technical training Equipment purchased or borrowed by Party B. Party B shall send technical personnel to assist in the installation and provide technical training for Party A personnel. Party B shall be responsible for the wages and all expenses of Party B's technical personnel. Party A provides convenient conditions for the technical personnel sent by Party B.

Fifteen, liability for breach of contract

1. Party B shall feed in accordance with the specifications, quality, quantity and time specified in this contract, and settle the settlement in time. If Party B stops production or other economic losses due to Party B, Party B shall be responsible for compensation.

2. Party A shall deliver to Party B in accordance with the quantity, specification, quality and time requirements of the finished product as stipulated in this contract. If Party B violates the provisions of the contract, Party A shall be liable for compensation. Party A shall be liable for compensation.

XVI. Declaration and Warranty

Party A

1. Party A is a legally established and legally existing enterprise with the right to sign and be able to perform this contract.

2. All procedures required for Party A to sign and perform this contract have been completed and are legal and valid.

3. At the time of signing this contract, no court, arbitral institution, administrative organ or regulatory body has made any judgment, ruling, ruling or specific administrative act that is sufficient to cause Party A to have a material adverse effect on the performance of this contract.

4. The internal authorization procedures required by Party A to sign this contract have been completed, and the signatory of this contract is the legal representative or authorized representative of Party A. After the contract comes into effect, it will be legally binding on both parties to the contract.

Party B

1. Party B is a legally established and legally existing enterprise with the right to sign and be able to perform this contract.

2. All procedures required for Party B to sign and perform this contract have been completed and are legal and valid.
