PBX Maintenance Agreement

Scope of the first agreement

This Agreement is a contract for Party B's _________ to provide Party A's _________ with a paid technical service to the Group's telephone system.

Second device description

1. The equipment to be maintained by Party A must be a qualified product produced by a regular manufacturer, and must be inspected by relevant departments and within the normal scope of use.

Article 3 Fees and payment methods

2. The payment shall be paid in one lump sum on the date of signing the agreement.

Article 4 Liability and Guarantee

1. Maintenance time is from _________ years _________ months _________ days to _________ years _________ months _________ days.

2. Party B promises to repair and maintain the equipment above Party A every _________ months under the normal use of the telephone system; once the telephone system is not working properly, Party A will notify Party B that Party B will arrive at Party A within _________ hours. On-site and repairs.

3. When Party A's personnel in charge of the equipment are transferred, Party B shall conduct responsible training for the new receivers.

4. Party B shall promptly notify Party A of the technical update and upgrade of the equipment. If Party A agrees that Party B shall provide its upgraded related software and services at a preferential price.

5. Party B will no longer bear the free warranty obligation of the equipment under the following circumstances:

a. Failure due to force majeure such as thunder, fire, etc.

b. Failure due to human causes.

c. Failure caused by returning to the telephone line after commissioning is completed.

d. Transfer and modification of lines and equipment, etc.

6. Party A needs to replace or add equipment at its own expense.

Article 5 Arbitration and Law

1. Disputes arising out of or in connection with the implementation of this Agreement shall be settled through friendly negotiation between the parties. Disputes that cannot be resolved through negotiation shall be submitted to the relevant state departments for arbitration in accordance with the provisions of the Economic Contract Arbitration Regulations.

2. Except as provided in the award, the arbitration fee shall be paid by the losing party.

3. During the arbitration period, the parties shall continue to execute the rest of the contract except for the part being arbitrated.

4. This contract shall be governed by Chinese law and all disputes shall be settled in accordance with the terms of the agreement and other relevant agreements.

This contract is made in two copies, each party holding one copy, effective from the date of signature by both parties.
