If the mechanical failure or non-operational error occurs within 1 year and 6 months after the equipment is put into operation, Party B It shall be responsible for dispatching engineering and technical personnel for repairs and free supply of spare parts. 2. Party B is responsible for providing the raw materials and auxiliary materials required for the complete set of equipment with 46 sets of netting machines to be temporarily stored in Party A, commissioning processing, and ensuring a balanced supply on a monthly basis.
3. Party A is responsible for providing the corresponding plant, water, electricity, labor and packaging materials, and is responsible for processing the fishing nets according to the specifications, quantity and quality required by Party B, and collecting processing fees. All products are sold to Party B.
4. Both parties agree that the equipment price and processing fee are settled in Japanese Yen.
Second processing quantity and processing fee
Party B guarantees that the number of fishnet processing will be more than 500 tons per year, and the annual processing fee income shall not be less than 240 million yen. Party A guarantees to provide the above-mentioned fishing nets with a processing income of more than 240 million yen or more. productive forces. Three payment methods
1. The price of steel, pipes and trucks required for the installation of equipment, spare parts and expansion plants is: CMT Shantou 6.09152 billion yen. The payment method of the payment shall be paid by Party A through the Bank of China Credit Guarantee of Guangzhou Bank, and 60% of the processing fee collected by Party A shall be repaid in arrears until the end of the payment. Four transports, premiums
Party B shall bear the freight and insurance premiums for the delivery of raw materials and auxiliary materials to Shantou; Party A shall be responsible for transporting the manufactured goods to Hong Kong or Japan, and the transportation premium shall be borne by Party B. Party A shall be responsible for the insurance premiums for the storage of equipment, raw and auxiliary materials, semi-finished products and finished products during the period of storage.
Five delivery date
In order for Party A to produce normally, Party B shall reserve the original and auxiliary materials for two months in Party A, and the raw and auxiliary materials required for normal production shall be subject to the actual acceptance of Party A. In order to make the supply normal, Party A shall notify Party B at the beginning of the second month of the quantity received, used and the stock at the end of the month. In order to enable Party B to conduct its business normally, Party A shall receive the date of the original auxiliary materials provided by Party B. The product will be delivered to Party B on time, by quality and by quantity within one month. If problems occur during the implementation, they will be resolved through friendly negotiation between the two parties.
Under no circumstances shall the contractor retain the results of the completed work.
Six-times processing and loss rate
Both the product loss rate and the defective rate should be reduced. The nylon multifilament is tentatively set at 5%, and the loss rate of nylon monofilament is determined by the parties after the trial production period.
After the trial production period expires, if Party A suffers from operational errors, and the defective products and losses exceed a reasonable range, Party A shall be responsible for compensation for Party B's losses. If the quality of raw materials is not satisfactory, the loss will be caused by excessive quality. Party B bears.
The original and auxiliary materials required for the test machine shall be borne by Party B.
Seven technical exchanges
After the equipment arrives at the Shantou factory, Party B shall send engineering and technical personnel to install the machine, adjust the machinery and test machine to start until the machine is in normal operation, and the product is qualified. The expenses of the above-mentioned engineers and technicians in China shall be borne by Party B. Party B shall be responsible for keeping secrets on production and technology.
After Party A and Party B agreed to formally put into production, Party B dispatched technical engineering personnel to the factory to provide guidance on technical, production management and quality inspection. The specific measures will be agreed upon separately. Party B agrees that Party A shall send engineering and technical personnel to Party B for technical exchange when necessary.
Eight agreement period
This Agreement shall be valid for ___ years. During the term of the Agreement, Party A and Party B shall not reach the same or similar agreement with the third party.
