Party A entrusts Party B to process __________________ products. In order to safeguard the interests of both parties, the two parties have reached the following agreement on the processing of the behalf for mutual processing.

The first generation of processing content

Party A entrusts Party B to process its series of products. The quantity, style, standard and quality requirements of the processing are provided by Party A. The price is determined by both parties and is detailed on the order.

Article 2 Party A’s responsibility

1. Party B is entrusted to process Party A's ___ products according to the plan.

2. Provide Party B with relevant legal documents such as Party A's production authorization procedures, trademark registration certificates, power of attorney, and proprietary legal certificates for trade secrets.

3. Provide Party B with the style, quantity, technical requirements, delivery time, etc. of the processed products.

4. Responsible for providing Party B with various combinations of Party A's trademarks, internal and external packaging, and entrusting Party B to process Party A's ____________ products according to the plan.

2. Provide Party B with relevant legal documents such as Party A's production authorization procedures, trademark registration certificates, power of attorney, and proprietary legal certificates for trade secrets.

3. Provide Party B with the style, quantity, technical requirements, delivery time, etc. of the processed products.

4. Responsible for providing Party B with various combinations of Party A's trademarks, internal and external packaging, and other packaging and printed materials marked with trademarks, etc., related to Party B's processed products.

5. Party A has the right to inspect and supervise Party B's production standards and product quality, and to submit comments and suggestions to confirm the acceptance of the samples.

6. Party A shall accept the goods in accordance with the samples and standards determined by both parties.

7. Both parties are strictly observing trade secrets.

· The trademarks and graphic characters of the above-mentioned processed products signed by this contract are owned by Party A, and Party B shall not produce or provide them for others.

· Party A shall not submit the sample designed and produced by Party B to other manufacturers.

Article 3 Party B's responsibility

1. Strictly follow the commissioned content and requirements of Party A to engage in processing activities.

2. The standard version of the style, quantity, quality and production period determined by Party A shall be produced. The production standard shall meet the quality requirements of ____________ and shall not exceed the order quantity and variety in any form and reason.

3. Responsible for the procurement, acceptance and supply of raw materials, and in accordance with the quality requirements of raw materials determined by Party A.

4. Strictly manage the trademarks, packaging and printed materials provided by Party A. Due to the poor management of Party B, Party A's trademarks, accessories and packaging are lost, and the corresponding legal liabilities shall be assumed.

5. The styles provided by Party A shall not be used for the production of other trademarks.

6. Strictly guard the business secrets of Party A.

7. Three guarantees shall be implemented for the products produced, and the three-package standard shall be implemented in accordance with relevant state regulations.

Article 4 Payment method and place of delivery

After Party A determines the entrusted processing style, quantity and standard, it shall sign a commission processing notice with Party B, and Party B shall pay the total payment of ____________ as the advance payment within one week from the date of signing, and the goods provided by Party B shall be accepted by Party A. After the warehouse, the financial verification is the payment, and the delivery place is the Party's warehouse.

Article 5 Acceptance criteria

Both parties shall determine the samples of the production varieties before placing the order, and both Party A and Party B shall adopt the supervision requirements of the quality supervisors as the acceptance criteria. Party A must accept the product within 3 days from the date of delivery by Party B to the designated place.

Article 6 Liability for breach of contract

1. If Party B fails to deliver the goods according to the time required by Party A, Party B shall bear the penalty of ______% of the total price of the goods for each day; if Party A fails to pick up the goods as required by the contract, Party B shall have the right to deduct the deposit from Party A.

2. If Party B arbitrarily produces or sells Party A's products and packaging, printed materials, etc., once verified, no matter how many parties, Party B shall pay Party A RMB ______ million liquidated damages, and shall be investigated for legal responsibility.

3. In case of any violation of the other terms of this contract, the responsible party shall bear the penalty of ______% of the value of the goods.

4. If either party A or B breaches the contract, the other party has the right to terminate this contract. Party A shall bear the legal responsibility for the incomplete or false legality of the trademark and authorization procedures provided by Party A, and Party A shall bring losses and economic losses to Party B.
