Commissioned mineral processing contract

After friendly negotiation between Party A and Party B, Party A will entrust the production and purchase of lead and zinc ore to Party B for flotation processing. In order to bind both parties, the following beneficiation processing contract was signed, and the contractual terms agreed upon were mutually agreed.

I. Entrusted processing of mineral processing: Party A will entrust each Party to produce and purchase lead and zinc ore in the process of enrollment. The number of selected ore is based on the weight.

2. Party B shall be responsible for all expenses such as tailings, waste water and maintenance of tailings dam produced by the mineral processing.

Third, commissioned ore processing price: the processing price of each ore selected for the ore is ______ yuan. This price covers all costs for mining, transportation, crushing, ball milling, flotation, concentrate packing and loading.

IV. Entrusted beneficiation processing time: Party B shall, in accordance with the selection time required by Party A, enter Party A's self-produced and purchased lead-zinc ore raw materials for processing. If Party B has purchased purchased ore, it shall give priority to ensuring that Party A's raw ore is selected.

V. Concentrate quality after entrusted beneficiation processing: Party B must ensure the quality of concentrate after Party A entrusts mineral processing. Namely: the lead concentrate grade is more than 55%; the zinc concentrate grade is more than 50%; the lead and zinc concentrates are not more than 5%; the lead and zinc concentrates have a comprehensive recovery rate of 90%.

6. The assessment of the quality of the concentrate shall be based on the test results of the laboratory of Party A. The quality of the concentrate after Party B's processing is not up to the contractual requirements, that is, for every 1% drop in each quality indicator, Party A deducts Party B's processing fee by 30 yuan. If one of the concentrate quality indicators falls by more than 10 percentage points and above, Party A shall compensate Party A for the loss of 5000.00 yuan in addition to the Party B's mineral processing fee.

7. Party B shall ensure that Party A's raw ore and concentrate products are not damaged during the process of selection. In the event of the loss or theft of Party A's ore and concentrate products, Party B shall compensate according to the price.

8. During the contract period, Party B shall not refuse Party A's entrusted mineral processing for any reason. Otherwise, Party B shall compensate Party A for a breach of contract of RMB 10000.00.

X. Matters not covered in this contract shall be settled through negotiation between the two parties.

XI. This contract is made in two copies, one for each party.

12. Supplementary rules

1. Party A will transfer the “Conduitment Contract” signed with Zeng Zechun to Party B without compensation.

2. Party A shall transfer the equipment, accessories and materials added during the contracting period of Party B's concentrator to Party B.

3. The existing electronic platform scale is managed by Party A and Party B can use it free of charge.
