First general rule
The cooperation will be carried out in two phases.
In the first phase, Party B first provided all the equipment and inspection instruments required for the monthly production of 54,000 radios and electronic clock radios. These equipments and instruments are new, advanced, and the price is favorable, and must be confirmed by Party A. quasi. The price of equipment and instruments shall be paid in installments within the assembly fee charged by Party A.
Party B is also responsible for providing all the components, components and packaging materials required for assembling the above products at no price; Party A is responsible for providing the corresponding plant and electricity, and is responsible for organizing the assembly, collecting processing fees, and all the products are handed over to Party B.
Carry out the steps:
Party A will submit the plan of the factory responsible for the assembly task to Party B before September 30, and Party B will send engineering and technical personnel to carry the plant adjustment plan and equipment installation drawings to the first radio plant in Foshan before October 20, and jointly negotiate with Party A. plan.
From November 1st, Party B shall deliver the relevant equipment and instruments to the above-mentioned factory within 90 days to 120 days; Party A shall complete the plant adjustment during the same period and proceed with the equipment installation project.
Party B shall, within one month after the equipment and equipment arrive at the above-mentioned factory, deliver all the components, devices and packaging materials of the above-mentioned products for three months that are not provided at the price to the above-mentioned factory; Party A shall receive the above-mentioned components. The equipment and packaging materials are in the trial installation phase within one month from the date of the installation, and the formal assembly begins in the second month.
Both parties unanimously agreed that the assembly tasks for computers, televisions and other electronic products will be carried out immediately after the assembly of the above two products is officially put into production.
In the second phase, in order to reduce product costs and improve competitiveness, both parties agreed to gradually adopt components and devices produced by Party A. For this reason, after the assembly of the radio is officially put into production, Party B immediately provides the components and devices needed to manufacture the above products. All, equipment and instruments, and the conditions and price payment methods for providing these equipment and instruments shall be handled in accordance with the conditions and price payment methods for providing the above-mentioned equipment and instruments.
The second assembly fee calculation
Due to the different specific types of each batch of assembly, the complexity and difficulty of the process are different. The two parties agree that the assembly cost of each product is specified in the relevant contract.
Third loss rate
Due to the different varieties and styles of the assembled products, the loss rate is also different. Therefore, both parties agreed to agree on a reasonable depletion quota when signing the relevant contract. .
Article 4 Delivery Conditions
Related equipment, instruments, FOB Hong Kong delivery. The freight for the transportation of components, components and packaging materials to Foshan shall be borne by Party B; Party A shall undertake the delivery of the assembled finished products to Hong Kong or Kowloon, and the unloading costs shall be borne by Party B.
Article 5 Delivery date
In order for Party A to operate normally and continuously, the components, components and packaging materials provided by Party B shall be delivered to Party A's factory 15 days before the production month; the delivery date of the assembled products shall be specified in each batch of contracts.
Article 6: Liability issues
If the quality of the product caused by the assembly technology does not conform to the contractual provisions or the loss caused by the delayed delivery, Party A shall bear the burden; if the components, devices and packaging materials are unqualified, not matched or cannot be delivered to Party A on time, Party B shall bear the loss of the product quality or the loss caused by the delayed delivery.
Article 7 Technical Exchange
After signing this Agreement, Party B shall, as soon as it is notified by Party A, dispatch engineering and technical personnel to Foshan Radio 1 Factory to be responsible for equipment installation and assembly technical guidance until the plant can fully grasp the equipment installation and assembly technology for normal production. .
The cost of living for the above-mentioned engineers and technicians during the work of the factory shall be borne by Party A, and the wages shall be borne by Party B; if necessary, Party A may also send engineering and technical personnel to the factory affiliated to Party B to exchange technology, and the required living expenses shall be borne by Party B.
Article 8 Term of validity of the agreement
This Agreement shall be in duplicate in both Chinese and English, and each of Party A and Party B shall hold one copy. Both versions shall have the same effect and shall enter into force on September 22, 1998, with a validity period of 10 years. Any party that wishes to extend this Agreement must submit it to the other party six months in advance, as determined by mutual agreement.
Article 9 If there are any unfinished matters in this Agreement, the parties must make a necessary amendment and supplement after the friendly negotiation between the two parties.
