Chapter I General

Article 1 These Articles of Association shall be formulated in accordance with the Education Law, the Law on the Promotion of Private Education, the Regulations for the Implementation of the Law on the Promotion of Private Education, and the Interim Regulations on the Registration of Private Non-Enterprise Units and Relevant Laws and Regulations.

Article 2 School Name: School

Article 3 Nature of the school: A social organization that voluntarily organizes non-profit social service activities.

Article 4 The purpose of running a school: to abide by laws and regulations, implement the state's educational policy, harmoniously educate people, lay a good foundation, develop abilities, and develop students' individuality and specialty.

Article 5 The school voluntarily accepts the business guidance and supervision of the Education Bureau and the Civil Affairs Bureau.

Chapter II Schools

Article 7 Scale of schooling: The school covers an area of ​​m2; the building area is m2.

Article 8 School-running level: a nine-year consistent school.

Article 9 Forms of Running Schools: The enrollment targets are children of primary and middle school age and middle school students. The duration of study for primary school students is six years, and the duration of study for middle school students is three years.

Chapter III Management System

Article 10 The school shall establish a board of directors. The board of directors shall be the decision-making body of the school for three years.

Article 11 Members of the Board of Directors of the School: It consists of, among which, all of them are engaged in education for more than XX years.

Article 12 Board members are enthusiastic about education, have good conduct, and have political rights and full capacity for civil conduct.

Article 13 The first director and chairman of the board shall be elected by the organizer; the chairman's replacement shall be voted by the board of directors, and half of all directors shall pass. The replacement director is nominated by the chairman of the board of directors and approved by more than two-thirds of the board members.

Article 14 The term of office of a director shall be three years. Renewal after the expiration of the board of directors.

Article 15 The board of directors exercises the following powers:

Appoint and dismiss the school principal;

Modify the school charter and formulate the school's rules and regulations;

Formulate school development plans and approve annual work plans;

Raise funds for running schools, review budgets, and settle accounts;

Decide on the faculty and staff to prepare quotas and salary standards.

Decide on the separation, merger, and termination of the school.

Article 16 The board of directors meets at least once a year and holds an ad hoc meeting in one of the following cases.

When the chairman thinks it is necessary;

When more than one-third of the members of the board of directors propose.

Article 17 The board of directors shall have one chairman and two vice-chairmen, respectively

Article 18 The vice chairman shall assist the chairman of the board of directors. When the chairman of the board of directors is unable to exercise his functions and powers, the vice chairman of the board of directors shall exercise his rights on his behalf.

Article 19 The chairman of the board of directors exercises the following rights:

Convene and host a board meeting;

Implement the inspection of the implementation of the resolutions of the board of directors;

Sign the relevant files on behalf of the school;

Relevant rights under the laws, regulations and school regulations.

Article 20 The board of directors shall adopt the one-person, one-vote system and the number of attendees, and the minority shall obey the majority; when the votes of the votes are equal and the votes are negative, the chairman shall make a final decision. However, the following major issues should be discussed and approved by more than two-thirds of the members.

Appointment and dismissal of the principal;

Modify the school charter;

Develop a development plan;

Review budget and final accounts;

Determine other important changes such as the separation, merger, termination, etc. of the school.

Article 21 The board of directors shall be convened. The chairman or designated personnel shall notify all directors ten days before the meeting, and shall inform the directors of the time, place and content of the meeting. If the director is unable to attend the meeting for any reason, he may entrust other directors to attend the board meeting on his behalf. The power of attorney must indicate the scope of the authorization.
