County Flower Association Regulations
Chapter I General Provisions
The name of the first group: Shuyang County Flower Association.
Article 2 The nature of the Shuyang County Flower Association: a non-profit public group that is voluntarily formed by flower science and technology personnel and large flower production and sales; it is the county's flower research work, organization and coordination of flower production and flower marketing in our county. Civil society autonomous organizations that carry out industrialized operations.
Article 3 The purpose of this association is to adhere to the four basic principles, abide by the Constitution, laws, regulations and other national policies, and abide by the social morality; display and promote scientific and technological achievements, and improve the flowers of our county through personnel training and technical consultation. The technical level, marketing methods and ethical standards of producers and operators promote the sustainable, efficient, healthy and steady development of the flower industry in our county.
The purpose of this association is: through the efforts of this association, the flower products of our county will be sold to all parts of the motherland, and as soon as possible, we will go abroad and go global, contribute to the ecological balance and environmental beautification of human beings, and vigorously promote the place of our county. economic development.
Article 4 The competent department of the business is the County Agriculture and Forestry Bureau, which registers with the county civil affairs bureau and accepts the business guidance and supervision of the above two bureaus.
Article 5 The meeting place of this association is located in the Agriculture and Forestry Bureau of Shuyang County.
Chapter II Business Scope
Article 6 The scope of business of the Association:
(1) Propagandize the guidelines, policies, and regulations concerning the production and marketing of flowers in the state and at all levels of government, and study and formulate the planning and management measures for flower production in our county. Provide a basis for leadership decision-making and be a good staff.
(2) Analyze and study the problems related to flower production, circulation, management, etc. in the county, and put forward opinions and suggestions for solving the problems.
(3) Collecting and collating information on flower production, circulation and management inside and outside the county, summarizing and disseminating information and experience in flower production, circulation and management.
(4) Introducing and displaying new special varieties and new technologies, doing a good job of experiment and demonstration, and guiding the farmers to develop high-quality and efficient flower production.
(5) Providing one-stop training, consulting and contracting services for the production and sales of flower production in the county, including seedlings, bonsai production, technology, information, materials, capital, marketing and other services.
Chapter III Members
Article 7 Members of the Association are divided into individual members and unit members.
Article 8 Members applying to join the Association must meet the following conditions: (1) to support the Constitution of the Association; (2) the willingness to join the Association; (3) the agricultural science and technology personnel engaged in the promotion of flower technology in our county; and (4) the experienced flower farmers in this Major flower and bonsai production and marketing companies with certain influence in the industry.
Article 9 Procedures for Membership Membership (1) Submit an application for membership;
(2) Adopted by the board of directors for discussion;
(3) Fill in the membership registration form of the association;
(4) A membership card is issued by an agency authorized by the board of directors or the board of directors.
Article 10 Members shall enjoy the following rights: (1) the right to vote, the right to vote and the right to vote;
(2) Participating in various activities organized by the Association;
(3) Giving priority to publishing articles in the journal's publications and introducing experiences;
(4) having the right to criticize and recommend and supervise the work of the Association;
(5) Entrusting this Council to coordinate and solve related problems;
(6) Voluntary membership and freedom of withdrawal.
Article 11 Members shall fulfill the following obligations: (1) Implement the resolutions of this Council;
(2) Maintaining the legitimate rights and interests of the Association;
(3) completing the tasks assigned by the Association;
(4) paying the dues as required;
(5) To reflect to the Association the production, supply and sales of flower bonsai in our county and provide relevant information;
(6) Seriously study the production, supply and marketing of flowers and bonsai and related technologies and strategies, continuously improve the business level, and serve the flower production of our county;
Article 12 A member's withdrawal shall be notified to the Association in writing and the membership card shall be returned. If the member does not pay the membership fee for one year or does not participate in the group activities of the Association, it shall be deemed to be automatically withdrawn.
If a member violates relevant state laws and regulations and violates the Articles of Association, the Standing Council voted to remove it.
Article 13 A general meeting of all members shall be held every quarter, and an annual meeting shall be held at the end of each year or at the beginning of the next year. Other meetings and events shall be notified two days in advance.
Chapter IV Organization and Responsible Persons Generate and Dismiss
Article 14 The highest authority of this association is the general assembly. The powers of the general assembly are (1) to formulate and amend the articles of association;
(2) Election and removal of the president;
(3) Reviewing the work report and financial report of the board of directors;
(4) Deciding to terminate the matter;
(5) Decide on other major issues;
Article 15 A general meeting of members must be attended by more than 2/3 of the members, and the resolutions must be approved by more than half of the members present.
Article 16 The general meeting of members shall be three years. If it is necessary to advance or postpone the change due to special circumstances, it shall be approved by the board of directors, reported to the Agriculture and Forestry Bureau of the competent business unit for examination and approved by the Civil Affairs Bureau of the society. However, the extension of the extension is no more than one year.
Article 17 The board of directors of this Council shall be composed of the president and the chairman of the board of directors, and the board of directors shall be the executive body of the general assembly. Lead the group to carry out daily work during the intersessional period and be responsible to the general assembly.
Article 18 The powers of the Council are:
(1) Implementing the resolutions of the general assembly;
(2) Election and removal of the president, vice president and secretary-general;
(3) Preparing to hold a general meeting of members;
(4) Reporting the work and financial status to the general assembly;
(5) Deciding the absorption or delisting of members;
(6) Deciding to establish offices, branches, representative offices and entities;
(7) Deciding the appointment of the Deputy Secretary-General and the principal responsible persons of each institution;
(8) Leading the work of the various institutions of the Association;
(9) Formulating an internal management system;
(10) Decide on other major issues.
Article 19 The board of directors must have more than 2/3 of the directors present before it can be convened, and its resolutions must be approved by more than 2/3 of the members of the board of directors.
Article 20 The Council shall meet at least once a year, and special circumstances may be decided at any time.
Article 21 The group shall establish a standing council, which shall be elected by the board of directors and exercise the functions and powers of the first, third, fifth, sixth, seventh, eighth and ninth articles of Article 18 during the intersessional period of the board of directors. The council is responsible.
Article 22 The Standing Council shall have more than 2/3 of the standing directors to attend, and its resolutions shall be valid only after 2/3 of the standing directors of the meeting.
Article 23 The Standing Council shall meet once a quarter.
Article 24 The president, vice president and secretary general of the Association must meet the following conditions:
(1) Adhere to the party's line, principles, and policies, and have good political qualities;
(2) having a greater influence in the business field of the group;
(3) The president, vice president and secretary-general shall not be more than 70 years old, and the secretary-general shall be full-time;
(4) Being healthy and able to maintain normal work;
(5) having not been subjected to criminal punishment for deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 25 If the president, vice president or secretary-general of the Association exceeds the maximum age of appointment, it shall be approved by the board of directors and submitted to the Agriculture, Forestry Bureau and the Civil Affairs Bureau for approval before being allowed to serve.
Article 26 The president, vice president and secretary-general of the Association shall serve for a term of four years. If the term of office is to be extended due to special circumstances, it shall be approved by more than 2/3 of the members of the General Assembly and submitted to the Agriculture, Forestry and Civil Affairs Bureau for approval.
Article 27 The president of the Association shall be the legal representative of the Association.
The legal representative of this association does not concurrently act as the legal representative of other groups.
Article 28 The President of the Association shall exercise the following functions and powers;
(1) Responsible for the comprehensive work of the association;
(2) Convening and presiding over the Council and the Standing Council;
(3) Examining the implementation of the resolutions of the General Assembly, the Council and the Standing Council;
(4) by the Council, sign the relevant important files on behalf of the Association;
Article 29 The chairman of the board of directors exercises the following powers:
(1) concurrently serving as the president of the club;
(2) Responsible for the daily affairs of the managed club;
Article 30 The Secretary-General of the Association shall exercise the following functions and powers;
(1) presiding over the office to carry out daily work and organize the implementation of the annual work plan;
(2) Coordinating the work of various branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principals of the offices, branches, representative offices and entities, and submitting them to the Board of Directors or the Standing Council for decision;
(4) Deciding the employment of full-time staff of the office, representative office or entity;
(5) Handling other daily affairs.
Chapter V Principles of Asset Management Use
Article 31 Sources of Funding of the Association (1) County financial support;
(2) accepting donations from various friendly units or individuals;
(3) membership fees;
(iv) Income from activities or services carried out within the approved business scope;
(5) interest;
(6) Other legal income.
Article 32 This Council collects membership dues in accordance with relevant state regulations.
Article 33 The funds of the association's group must be used for the business scope and career development as stipulated in the Articles of Association, and may not be distributed among the members.
Article 34 This Council establishes a strict financial management system; it ensures that accounting materials are legal, authentic, accurate and complete.
Article 35 This Council is staffed with accountants with professional qualifications. Accounting is not a cashier. Accounting personnel must conduct accounting and implement accounting supervision. When the accountant transfers the job or leaves the company, he must clear the handover procedures with the receiver.
Article 36 The asset management of the Association shall implement the financial management system stipulated by the State and accept the supervision of the General Assembly and the financial department. Where the source of assets belongs to state funds or donations or subsidies from social organizations, it must be supervised by the auditing agency and the relevant information shall be disclosed to the public in an appropriate manner.
Article 37 The financial audit organized by the Agriculture, Forestry Bureau and the Civil Affairs Bureau must be accepted before the change of the session or the replacement of the legal representative.
Article 38 The assets of the Association shall not be seized, privately divided or misappropriated by any unit or individual.
Article 39 The wages, insurance and welfare benefits of full-time staff of the Association shall be implemented in accordance with the provisions of the State on institutions.
Chapter VI Modification Program of the Articles of Association
Article 40 The amendments to the Articles of Association shall be submitted to the General Assembly for consideration after being approved by the Council.
Article 41 The articles of association amended by this Council shall, within 15 days after the approval of the General Assembly, be examined and approved by the Agriculture and Forestry Bureau and shall be effective after being registered and approved by the Civil Affairs Bureau.
Chapter VII Termination Program and Property Treatment after Termination
Article 42 If the Association completes its purpose or disbands itself or needs to cancel due to reasons such as separation or merger, the Board of Directors or the Standing Council shall propose a termination motion.
Article 43 The termination motion of this association shall be approved by the general meeting of the members and reported to the Agriculture and Forestry Bureau for examination and approval.
Article 44 Before the termination of this association, a liquidation organization shall be established under the guidance of the Agriculture and Forestry Bureau and the Civil Affairs Bureau to clear creditor's rights and debts and deal with the aftermath. During the liquidation, not to carry out activities other than liquidation.
Article 45 This Council shall terminate upon the completion of the liquidation registration formalities by the Civil Affairs Bureau.
Article 46 The remaining property after the termination of the Association shall be used for the development of undertakings related to the purposes of the Association in accordance with the relevant provisions of the State, under the supervision of the Agriculture and Forestry Bureau and the Civil Affairs Bureau.
Chapter VIII Supplementary Provisions
Article 47 The Articles of Association shall be voted on by the General Assembly on December 31, XX.
Article 48 The right to interpret the Articles of Association shall be the council of the Association.
Article 49 The Articles of Association shall come into force on the date of approval by the Civil Affairs Bureau.
