In order to carry out the assembly business, the two parties signed this contract through friendly negotiation based on the principle of equality and mutual benefit.
Article 1 Assembly project
Party B shall provide Party A with the required parts for assembling ________ sets; Party A shall deliver the finished products to Party B after assembly.
Article 2 Number and time of delivery of finished parts and finished products
Party B will provide Party A with ____ pieces of ____ parts per month from ____________________________________________________________________________________________________________________________________________________________ After the receipt of the spare parts within ____ months, Party A shall deliver the assembled finished products to the ____ port for delivery to Party B.
Article 3 Processing Fee

Article 4 Payment Methods
Party B will deliver the parts that are not priced to Party A, and Party B will issue Party A with the spot payment certificate.
Article 5 Factory experts and technical training
According to the actual needs, Party B is obliged to send experts to Party A and train the necessary technical personnel for Party A, the number, time, tasks, and cost burden of the factory experts and trainers, which will be discussed separately by the two parties.
Article 6 Freight and insurance premiums
Party B shall be responsible for the freight and insurance premiums delivered by Party B to Party A. Party A shall be responsible for the freight and insurance premiums that Party A shall deliver to the Party B. For the transportation insurance of finished products, Party A shall insure comprehensive insurance and war risk according to the cost of spare parts plus ____% of the sum of freight, insurance and processing fees. During the assembly period, Party A is responsible for insuring fire insurance.
Article 7 Quality Inspection
After receiving the spare parts, Party A shall, according to the technical standards provided by Party B, check and accept its specifications and quality. If it is found that the specifications and quality of the parts supplied by Party B do not meet the technical standards, or the quantity is insufficient, Party A shall submit to Party B. After the inspection report, Party B is responsible for the return or make up.
After receiving the finished products assembled by Party A, Party B shall inspect the goods according to the agreed acceptance criteria. If Party A has caused the quality problems due to improper equipment, Party B shall submit an inspection report to Party A, and Party A shall be responsible for the repair or compensation.
Article 8 Force Majeure
Due to war and serious natural disasters and other irresistible accidents agreed by both parties, if one party fails to perform the contract, the party in the event of the accident shall notify the other party of the accident as soon as possible and negotiate with the other party to extend the time limit for performance of the contract. The damage caused by the other party shall not be claimed.
Article 9 Liability for breach of contract
If either party fails to perform the terms of the contract and causes the other party to suffer economic losses, it must be liable for compensation, and the injured party has the right to a fine of ____ yuan.
Article 10 Arbitration
In the course of implementation of this contract, if there is a dispute, the parties shall resolve it in a friendly negotiation. Article 11 Guarantee
