Equipment repair contract
____________ Co., Ltd. and ___________ company have negotiated in good faith and hereby enter into the following terms:
Article 1 Definition
“Acceptance Manual” means a file provided by the Contractor and confirmed by both parties for the parties to verify that the repaired equipment meets the technical specifications and the required data standards.
“Regulated Information” means the drawings, materials and other materials necessary for the implementation of this Agreement in connection with the System.
“Defect or defect” means that the equipment does not meet the relevant requirements of the acceptance manual.
“On-site acceptance” is the final acceptance of the repaired equipment by the designated manufacturer in accordance with the acceptance manual.
“Technical Specifications” means Schedule A to this Agreement.
Article 2 Repair project
Project Description
Equipment performance must comply with the specified performance, meet the technical specifications and standards of the data, and submit all applicable, necessary drawings, materials and other technical information. During the work period, the contractor shall accept the necessary supervision and inspection by the contracting party.
The contractor shall prepare and submit 2 copies of the draft acceptance manual for the given party before September _, 2002. The acceptance manual shall be reviewed and agreed to by the ordering party within ____ days.
In the main body of this Agreement, if it is inconsistent with the provisions of the subsidiary file, the provisions of the main body of this Agreement shall prevail. If the acceptance manual is inconsistent with the technical specifications or the specified information, the technical specifications and regulations shall prevail.
Article 3 Repair costs

After receiving the invoice from the contractor, the ordering party must pay the contractor the following period:
After the equipment is repaired and tested, if it is qualified after one month, the fixed party shall pay RMB 320,000 in one lump sum.
Article 5 Delivery and acceptance
The contractor shall complete the repair and commissioning of the equipment by November 25, 2002; and complete the inspections specified in the acceptance manual; at the same time, the contractor shall sign the equipment acceptance certificate to prove that the inspection has been completed. The acceptance document shall indicate the defects that are recognized by both parties and which shall be corrected by the contractor during the period agreed by both parties.
On-site acceptance shall take place on November 26, 2002.
Article 6 Change
Any changes to the body or schedule of this contract from the date of entry into force of this contract must be in writing and detail the changes to the technical specifications, price, performance, design, acceptance date, replacement performance of delivered or forthcoming spare parts, and The impact of other significant matters of this Agreement shall be signed by both companies.
In order to repair or improve the equipment, the contractor may make minor changes or corrections to the technical specifications as long as such changes do not seriously affect the total purchase price, functional characteristics, performance, and replacement performance of the spare parts.
Article 7 Warranty
The contractor guarantees that the equipment will not meet the technical specifications due to defects in equipment materials and processes, as well as imperfect design.
The equipment and components shall be replaced or repaired within 7 days from the receipt of the notice of the ordering party from the date of signing the site acceptance, and the costs incurred shall be borne by the contractor.
If the contractor fails to perform the above warranty obligations, it shall bear all losses caused by the contracting party.
Article 8 Other
This contract is a complete agreement between the parties, and all previous representations, negotiations, letters, commitments, agreements, negotiations and contracts between the parties or their agents for any matter or thing to which this contract applies or is committed, whether written or oral. , all recovered and invalidated.
