First general rule

In view of:

Party B intends to introduce funds from all over the world. Party A and Party B agree to each other. Party B shall designate Party A as the Plenipotentiary Representative. Party B authorizes Party A to negotiate with the investors to introduce the amount of funds and investment according to the terms and conditions set forth in this Agreement. Second definition

2.1 The meaning of all terms in this Agreement is clearly stated as follows:

“Commission” is the commission paid by Party B to Party A in accordance with Clause 6.1 in accordance with the terms and conditions set forth in this Agreement;

2.2 The headings in the various clauses are for conspicuous use only and have no effect on the interpretation of this Agreement.

Article 3 Agent

3.1 After Party A has negotiated with Party B, Party A shall act as the sole agent of Party B's ________ project and negotiate with Party B on behalf of Party B to introduce funds. To this end, Party A agrees to accept the entrustment of Party B.

3.2 During the term of the agreement, Party B shall not designate any other person or entity as its agent and act on behalf of the project to introduce funds.

3.3 According to the Agreement, Party A, as Party B, entrusts the full authority of the project and introduces investment funds on behalf of Party B. If the investor and Party B have completed the transaction, they will be recognized and effective. Party B shall negotiate with the investor about the specific matters of the project. After negotiation, the parties formally sign the investment agreement and Party A collects the commission.

Article 4 The duties of Party A

4.1 During the term of this agreement, Party A shall endeavor to negotiate with the investor to obtain the best investment quota and the most favorable terms and conditions from the investor, so that Party B can prepare for the investment in a timely manner.

A valid and effective method should be adopted to obtain investment funds for Party B and facilitate Party B to sign investment cooperation agreements with investors.

4.2 During the term of this Agreement, Party A shall not:

Except for matters related to the plenipotentiary agent designated by Party B, it shall not be self-proclaimed to act on behalf of Party B;

Promising or resolving any matter in the name of Party B, or using Party B's letter as a guarantee, or making any guarantee or statement on behalf of Party B, or causing Party B to assume any responsibility or business;

Information obtained from Party B in any way is a secret and can only be used for the purpose of introducing funds and services to Party B.

Article 5 The duties of Party B

5.1 Party B shall promptly meet Party A's reasonable requirements and provide Party A with the information required for the business, so that Party A and the investor can negotiate relevant matters.

5.2 Party B shall promptly notify Party A and provide detailed information when there are any changes to the preferential conditions of the project or if the policy is tilted.

5.3 Party B must ensure that all information provided about the project is true and accurate.

Article 6 commission

6.1 Party B agrees to pay the commission of ________% of the total amount of funds introduced by Party A. Commissions are paid by ________ on the date of signing of the investment agreement.

6.2 Party A and Party B agree that when the investor and Party B sign the terms of the investment agreement, Party B shall pay the commission according to the provisions of Section 6.1, and Party A shall receive the commission in accordance with the rights stipulated in Article 6.1. Party B shall not delay any excuses and shall pay in time.

Article 7 Termination Agreement

7.1 The expiration or termination of Party A's entrustment in accordance with the provisions of this Agreement shall, for whatever reason, not interfere with the rights and obligations of all aspects of the Agreement.

7.2 According to the agreement, Party A has facilitated the investment negotiation between the investor and Party B. If Party B privately signs the investment cooperation agreement with the investor, it will be deemed that Party A’s agency responsibility is completed, and Party B must pay the full amount of commission according to Article 6.1. Party A.

Article 8 This Agreement shall not be modified or changed without the consent of the parties.

Article 9 Law of Use

9.1 All provisions of this Agreement are based on existing relevant laws, decrees and regulations, such as the Constitution, Criminal Law, Civil Law, Contract Law, Economic Law. However, after the entry into force of the agreement, due to the promulgation of new laws, decrees, regulations or amendments to the original laws, decrees and regulations, resulting in major changes in the economic interests of either party, Party B and Party B shall be promptly negotiated and this Agreement The relevant provisions of the relevant amendments and adjustments to ensure the normal economic rights of both parties.

Article 10: Settlement of disputes

10.1 A dispute between the implementation of this Agreement and all provisions relating to this Agreement shall first be settled by friendly negotiation between Party A and Party B.

10.2 If the negotiation cannot be resolved, mediation can be made in ________________________, if the mediation is invalid, it will eventually be arbitrated in _________________________ according to the international arbitration procedure, by ____________________________.

10.3 In the event of disputes and disputes submitted to arbitration, in addition to the disputes and submissions to arbitration, both Party A and Party B must continue to exercise their rights and fulfill their obligations in accordance with the provisions of the agreement.

10.4 The arbitral award is final and binding on Party A and Party B.

Article 11 Language

This Agreement is written in English and Chinese, both texts being official.

Article 12 Notice

Any notices, requests or other communications concerning the agreement shall be subject to the text and may be transmitted by means of letters, telex or telegram.

This Agreement shall come into effect on the date of signature by both parties, in duplicate, and each party shall hold one copy.
