Both parties agreed to sign this apartment booking contract and set the terms as follows:

1. Party B shall book Party _____ sets of _____ room _____ apartment apartment in the “Xietai Center” building, No. 88, Zunyi South Road, Shanghai, with a total construction area of ​​_____ square meters and a total house price of _____ USD.

2. Both parties agree that the price of the apartment house is calculated in US dollars. Party B shall remit the bank account designated by Party A by way of payment, and Party B shall pay for the remittance.

3. Party B agrees to prepay the 7% of the room rate within the fourteen days after the contract is expected to be signed, ie _____ USD, and pay the remaining price within 14 days after the contract is signed on the date of delivery. _____.

4. If Party B is unable to pay the amount of the house price payable within the payment date specified in the third paragraph, Party A will charge Party B with a late payment fee, and the late payment fee is calculated as _____ of the price of the house price.

5. “Xietai Center” is a building built on the 28-3C plot of Shanghai Hongqiao Economic and Technological Development Zone. The land was approved by the Shanghai Municipal Land Bureau. Therefore, the apartment purchased by Party B is purchased together with the corresponding land use right of _____ square meters. 6. The air-conditioning pipes and water, electricity and other equipment should be installed and the living facilities in the room should be equipped.

7. After Party B pays the full house price, it will complete the procedures for obtaining the real estate license and land use right by signing the contract for the sale and purchase of the house with Party A.

8. After the contract for the sale and purchase of the apartment is signed, Party B shall, within one month, inspect and accept the houses and equipment delivered by Party A in accordance with the relevant building and equipment standards stipulated in Party A's sales instructions, and the keys shall be handed over by both parties. After the handover of the house key, it will be completed as a handover procedure for both parties.

9. From the date of house handover, the ownership of the house shall be returned to Party B. Regardless of whether Party B is used or not, Party B shall bear the responsibility for the use, management and maintenance of the house from the date of transfer and shall be responsible for all expenses incurred in connection with the house.

10. After signing the house sale and purchase contract, Party B shall go through the house ownership registration formalities and obtain the house title certificate, and apply to the land bureau for the transfer of land use rights. The expenses shall be borne by Party B.

11. Party B understands and agrees to the “Notes on Buying House” formulated by Party A and is willing to accept it.

12. If the construction of the construction unit such as civil engineering, installation, municipal facilities, etc. is postponed, or other unforeseen reasons, the house cannot be delivered on the above-mentioned date of booking. After Party A has notified Party B, this contract will continue to be valid. If the delay date exceeds three months, from the fourth month to the actual delivery date, Party A shall pay interest on the house price paid by Party B according to the current interest rate of the current deposit of Bank of China Shanghai Branch, as Party B’s delay to Party B. Financial compensation. Party A no longer bears any other responsibility.

In case of irresistible natural disasters or other reasons, Party A cannot deliver the house to Party B. Party A shall immediately refund all the house prices received. Party A no longer bears any other responsibility.

13. During the period of validity of the booked house contract, before the apartment is delivered for use, if Party B needs to transfer the contract to a third party for special reasons, Party B shall obtain the written consent of Party A before proceeding with the transfer procedure. The expenses will be borne by Party B.

14. Any dispute concerning the execution of this contract or related to this contract shall be settled through friendly negotiation between the two parties. If the negotiation fails, please ask the Shanghai Branch of the China Council for the Promotion of International Trade to mediate or arbitrate.

15. The terms and conditions of this contract are subject to the relevant laws and regulations promulgated by the People's Republic of China. If the government of the People's Republic of China has new regulations, it shall be implemented in accordance with the new regulations.
